AI Advisor provides review models for decisions where technology, AI, software or suppliers affect value, responsibility or risk.
The review is adapted to the decision context: investment, procurement, AI adoption, transaction support, board decisions or the need to identify legal gaps that have accumulated over time.
Technology and Asset Review
Purpose: Clarifies whether software or technology has the substance, control and transferability that the claimed value assumes.
Typical use cases: investment, acquisition, licensing, transfer or strategic partnership.
What is reviewed: technical substance, IP chain, control, security, dependencies, transferability and value-bearing assumptions.
Typical deliverables: decision report with risks, uncertainties, verified assumptions and recommendations for terms, price, remedial actions or deeper review.
Suitable clients: PE, VC, industrial buyers, M&A teams and law firms.
Review level: choose red flag for rapid screening, integrity review for standard review and enhanced review where technical specialists should verify architecture, code, security or open source.
Supplier Review
Purpose: Assesses whether a SaaS, AI or technology supplier is controllable, contractually manageable and suitable to build a strategic dependency on.
Typical use cases: procurement, supplier onboarding, renewal, outsourcing or major platform selection.
What is reviewed: data flows, security level, subcontractors, exit options, contracts, responsibility, regulatory exposure and operational control.
Typical deliverables: supplier decision note with risk classification, contractual issues, required clarifications and potential stop points.

Typical use cases: AI adoption, AI supplier review, board material, sensitive regulatory use or investor questions.
What is reviewed: AI-related claims, data flows, model and supplier dependencies, responsibility, documentation maturity and organisational control.

Suitable clients: management, boards, AI vendors, SaaS companies, compliance and investors.
Review level: red flag for initial exposure, integrity review for decision material and enhanced review where an AI/ML technical specialist should be involved.
Legal and Transaction DD Support
Purpose: Complements legal DD and transaction work when technology, software, AI, data, IP, security or supplier dependencies are central to the deal or dispute.
Typical use cases: legal DD, transaction, dispute, supplier conflict, disclosures or contract negotiation.
What is reviewed: technical and commercial assumptions that need to be translated into legally usable conclusions.

Review level: red flag for transaction screening, integrity review for decision report and enhanced review where technical specialist assessment is required.
Legal Debt in Technology and AI Environments
Purpose: Identifies legal gaps and control weaknesses that have accumulated over time around software, AI, data, contracts, suppliers and internal processes.
Typical use cases: rapid growth, investment readiness, major customer contracts, AI adoption, product changes, supplier changes, or situations where contracts and internal governance documents no longer reflect the actual business.
What is reviewed: contract structure, allocation of responsibility, data protection, AI governance, IP, supplier dependencies, internal governance documents, customer commitments and documentation gaps.
Typical deliverables: prioritised risk and action plan with material gaps, recommended remediation order and issues that should be documented, renegotiated or escalated.
Suitable clients: SaaS companies, AI companies, technology companies, companies preparing for investment, in-house legal, management and boards.
Review level: red flag for rapid overview, integrity review for structured review and enhanced review where technical specialist input or deeper contract/data review should be included.
Scope and proposal
Engagements are proposed based on scope, decision risk, available material, number of systems or suppliers, need for interviews and whether technical specialist review should be included. Smaller red flag reviews can be limited to a fixed scope. Deeper integrity reviews, transaction-related engagements and engagements involving technical specialists are proposed after an initial conversation.
